Argentina: Regulations for the Registration of Ownership Transfers and Category Changes

Argentina's National Institute of Industrial Property (INPI) approved a new set of regulations governing the registration of ownership transfers and category changes, establishing the applicable guidelines and procedures for these filings. The measure entered into force upon its publication in the Official Gazette on May 29, 2026.
Among the key updates introduced by the regulations, the following stand out. First, the sworn declaration principle is incorporated for all documentation submitted. Second, documentary requirements are streamlined by eliminating the obligation to apostille or obtain consular legalization for documents issued abroad. Third, both the transferor and the acquirer may now indistinctly request the registration. Fourth, the regulations precisely define the effects of ownership transfers and category changes, which will take effect from the date the application is filed.
The regulations also address specific situations such as successive transfers, trusts, and asset distributions arising from divorces or inheritance proceedings. A formal observations procedure is established, with ample cure periods before a potential rejection of the filing.
Additionally, the regulations ratify the use of the existing web-based application form for ownership transfer and category change filings, which is already available through INPI's online portal and will serve as the official channel for submitting corresponding requests.
Finally, INPI's Technology Transfer Directorate is empowered to issue operational and clarifying provisions necessary for the proper implementation of the regulations.
